WHAT’S IN THESE TERMS?  

These terms set out the rules and restrictions relating to how you may use of the images, logos, documents, files, artwork, trade marks, trade names, service marks, trade dress, logos, URLs or identifying slogans, whether or not registered, and any other resources which you may find in  https://www.atombrands.com/resources/ (the Resources Section) or which may otherwise be provided to you by us (Atom Resources).

BY USING THIS SECTION, YOU ACCEPT THESE TERMS  

By visiting the Resources Section and accessing any Atom Resources, you confirm that you accept these terms and that you agree to comply with them.

If you do not agree to these terms, you must not use access the Resources Section or use any Atom Resources.

OTHER TERMS THAT WILL APPLY TO YOUR USE OF Atom Resources

You right to use the Atom Resources is subject to the terms of the contract between you and us (the Contract) in relation to your purchase of goods under our Trade Terms of Business located at: https://www.atombrands.com/trade-terms-of-business, as amended from time to time (Trade Terms).  In the event of any conflict or inconsistency between these terms and the Trade Terms, these terms shall prevail.

AUTHORISED USERS

Only users who have been given a login and password from an authorised representative of Atom Brands have the right to use the Atom Resources. If you have not been granted access by an authorised representative of Atom Brands, you may not use the Atom Resources until you have received such authorisation. Please contact us for more information.

Any references in these terms to “you” are intended to refer to users who have been authorised to access the Resources Section and use the Atom Resources.  They do not apply to unauthorised users, who have no right to use the Atom Resources.

You may not share the login or password details relating to your access to the Resources Section with any other personnel or third parties without the express permission of an authorised representative of Maverick Drinks.  We reserve the right to deny you access in future if we believe you have granted unauthorised personnel or third parties access to the Resources Section.

INTELLECTUAL PROPERTY RIGHTS

As between you and us, we are the owners of all intellectual property rights in and to the Atom Resources and all other materials in the Resources Section. Such works are protected by copyright laws and treaties around the world. Save as expressly permitted in these terms, all such rights are reserved.

Subject to your compliance with these terms and the Trade Terms, you shall have the non-exclusive, non-transferable right to use the Atom Resources in connection with the sale, distribution and/or promotion (as the case may be) of the goods supplied to you by us under the Contract.  You may not (and shall not) assign, sub-license or grant any rights in or to the Atom Resources (or any parts thereof) to any third party.

Your rights are limited to the duration of the Contract between you and us and, if applicable, to the territory in which you have the right to sell or distribute our goods under the Contract.  In the event the Contract between you and us is terminated for any reason, you shall immediately cease to use the Atom Resources and any rights granted to you shall be deemed expired.

All ownership of the Atom Resources and any goodwill arising from use of Atom Resources shall accrue to and remain always vested in us.  You shall not obtain, nor will you represent that you have, any right, title or interest in or to the Atom Resources, other than that which is expressly granted to you in these terms.

RULES RELATING TO THE USE OF Atom Resources

You must (and shall) only use the Atom Resources in their original context in connection with the relevant goods to which they relate.  You shall not use any Atom Resources in connection with any third party entities, products, brands or services nor in any way which may imply the direct or indirect endorsement, sponsorship or affiliation with any third party entity, product, brand or service.

You must not (and shall not) edit, manipulate, alter or otherwise change any of the Atom Resources without our prior written consent (this includes changing resolution, cropping, changing colours of images, adding other images or text to any materials, or using any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text).

You must not (and shall not) use Atom Resources in any way which may reasonably bring into disrepute or could be detrimental to the reputation of Maverick Drinks or any of its affiliated or group companies or any of the brands associated with the Atom Resources.

COMPLIANCE WITH LAWS, REGULATIONS, GUIDELINES AND CODES

You must (and shall) comply fully in every respect with the terms of The Portman Group Code of Practice, all relevant Advertising Standards Authority guidelines (as may be updated from time to time) and any other local, national or international laws, regulations, guidelines and advertising or marketing codes whenever you use the Atom Resources.

You must (and shall) comply in every respect with the any guidelines we may provide to you in respect of the use of Atom Resources, including our social media guidelines and terms of use, as may change from time to time.

REQUESTS TO REMOVE/REVISE RESOURCES

We may at any time request the removal of, or editorial revisions to, any of the Atom Resources used by you. You agree to take appropriate remedial action with respect to any such request within 72 hours of receipt of such request.

You shall promptly on our request supply us with samples of any printed, digital and online materials and packaging which incorporate any of the Atom Resources (including any which are to be published and/or published on your behalf).

INDEMNITY

You will indemnify, defend and hold us harmless against all and any claims, losses, liabilities, expenses, costs, demands or causes of action, including (without limitation) damages and legal fees, arising out of the exercise, breach and/or non-performance by you of these terms.

WE MAY SUSPEND OR WITHDRAW OUR SITE  

Our site and the Resources Section is made available free of charge.

We do not guarantee that our site or the Resources Section, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

WE ARE NOT RESPONSIBLE FOR VIRUSES AND YOU MUST NOT INTRODUCE THEM  

We do not guarantee that our site (including the Resources Section) will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software.

You must not misuse our site or the Resources Section by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

We amend these terms from time to time. Every time you wish to use the Resources Section or any Atom Resources, please check these terms to ensure you understand the terms that apply at that time.
